    Note: This document describes the partner programme as it is technically implemented. Sections marked [legal review pending] have not yet been reviewed by counsel and must be completed before launch. The German version is the authoritative one.

    1. Subject matter and formation

    The partner programme is aimed at individuals and companies who refer new studios to INKLY. Admission is by application and curated: a partner account is first created with status "under review" and becomes effective only upon explicit approval by INKLY. There is no entitlement to admission.

    The personal referral link becomes effective upon approval. Before approval and during any suspension it creates no attribution.

    2. Commission

    Commission, measured by the number of active referred studios:

    • Starter Partner — 1 to 20 active referred studios: 10 %
    • Growth Partner — 21 to 50 active referred studios: 12 %
    • Elite Partner — 51 or more active referred studios: 15 %

    The rate applicable when a referred studio signs is fixed permanently for that studio. Moving to a higher tier applies to future deals only; existing attributions keep their rate.

    The basis of calculation is the amount ACTUALLY PAID by the referred studio, excluding VAT.

    3. Conditions and exclusions

    Commission arises where the studio was unambiguously won through the partner and an invoice has actually been paid.

    No commission arises:

    • on free periods (free months, trials, credits);
    • on open, voided or uncollectible invoices;
    • on individually negotiated pricing, unless otherwise agreed in writing;
    • on add-on products outside the studio subscription;
    • after the referred studio terminates its subscription.

    Registering one's own studio, a studio one works at, or any arrangement amounting to self-referral is not permitted and creates no entitlement.

    4. Attribution

    A studio is attributed to at most one partner at any time. What counts is registration through the referral link within 180 days of it being used.

    INKLY may correct an attribution subsequently where it is demonstrably incorrect. Commission entitlements already accrued to the previously attributed partner remain unaffected.

    5. Locations and chains

    Each location constitutes its own licence with its own subscription and its own invoice. Where a referred ownership opens further locations, those are also attributed to the partner, provided they belong to the same ownership and hold a paid subscription. Each further location is settled at the partner's commission rate applicable when that location opens.

    From 21 locations pricing is calculated individually; commission is then agreed separately in writing.

    6. Referrals by existing studios

    Where an existing INKLY studio refers a new studio, the referring studio receives one free month once the referred studio has paid for the first time; the new studio receives two free months. Where the referring studio originates from a partner's network, that partner's commission for the new studio increases by 5 percentage points.

    7. Settlement and payout

    Settlement is quarterly. A commission is deemed confirmed 30 days after payment is received from the referred studio; this period allows for refunds.

    Payout occurs on the 15th of the month following the quarter, provided the confirmed balance is at least CHF 100. Where that threshold is not met, the balance does not lapse but carries over to the following settlement.

    Refunds and chargebacks are offset proportionally against future payouts.

    Settlement is by self-billing. The partner is responsible for taxing their own income and shall notify INKLY of any VAT liability; without a VAT number, no VAT is shown.

    8. Partner obligations

    The partner advertises factually and truthfully. In particular, misleading statements about scope or pricing, unsolicited bulk advertising, trademark infringement and advertising suggesting the partner acts on behalf of INKLY are not permitted.

    9. Term, termination, liability, data protection and jurisdiction

    To be regulated: notice periods on both sides, the effect of termination on existing attributions and accrued entitlements, suspension for breaches, limitation of liability, processing of personal data, applicable law and place of jurisdiction.
